Note: This is a convenience translation. The legally binding version of these Terms and Conditions is the German original ("Allgemeine Geschäftsbedingungen"). In the event of any discrepancy, the German version prevails. These Terms are tailored to an exclusively B2B offering by a sole proprietorship and should be reviewed by a lawyer before the first sale.

1. Scope and Customer Group

  1. These General Terms and Conditions apply to contracts for the time-limited use of the "PriceVigil" software, including the associated licensing, update and support services.
  2. The offer is directed exclusively at entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. No contract is concluded with consumers.
  3. By placing an order, the customer confirms that it enters into the contract in the exercise of its commercial or independent professional activity.
  4. Deviating terms and conditions of the customer apply only if Karasungur Systems has expressly agreed to their validity in text form.

2. Subject Matter of the Contract

  1. PriceVigil is software executed locally on a Windows computer for monitoring and evaluating information on websites selected by the customer, in particular product and price information.
  2. The captured items, retailer addresses, prices, evaluations, browser profiles, logins and settings are stored locally at the customer's premises as a matter of principle. Contract and license data are processed separately from these.
  3. The specific scope of services results from the plan selected at the time the contract is concluded, the service description and the order confirmation. Information in the program or in a plan overview is for information purposes; in the event of contradictions, the order confirmation prevails.
  4. Karasungur Systems owes the provision of the software in the agreed version, but not any particular economic success, any particular saving or the seamless availability and accuracy of third-party websites.

3. Conclusion of Contract

  1. Plan presentations, price lists and product descriptions do not yet constitute a binding contractual offer unless they are expressly designated as such.
  2. The customer submits its binding offer via the online ordering process at Stripe or by accepting an individual offer. The contract is concluded upon the order confirmation, the provision of the license key or the activation of the software — whichever event occurs first.
  3. The customer must provide its order and invoicing data completely and correctly and must notify any changes without undue delay.

4. Trial Version

  1. Insofar as a free trial version is offered, its term and range of functions are specified in the software.
  2. The trial version may be used exclusively for internal evaluation of the product. There is no claim to an extension, data transfer or permanent provision.
  3. The trial version ends automatically without any need for termination.

5. Rights of Use and Scope of License

  1. For the duration of the contract, Karasungur Systems grants the customer a simple, non-exclusive, non-transferable and non-sublicensable right to use PriceVigil within its own company for its own business purposes.
  2. The permitted number of activated devices and any further plan limits result from the plan booked. The customer may use device slots only for its own employees and company devices.
  3. In particular, the rental, resale, public provision, transfer of license keys to third parties, and the circumvention or manipulation of the license check are not permitted.
  4. Acts mandatorily permitted by law, in particular under §§ 69d and 69e of the German Copyright Act (UrhG), remain unaffected.
  5. The right of use ends upon termination of the contract. The customer must uninstall the software and cease using license keys. The customer may retain lawfully generated exports and evaluations.

6. Provision, Activation and System Requirements

  1. The software and updates are provided electronically.
  2. For online activation, the license key, a pseudonymous device identifier and a computer name are transmitted to the license server. After successful activation, the software can also operate without a connection to the license server for the period provided for in the license certificate.
  3. The customer provides, at its own expense, suitable hardware, a supported Windows system, internet access, up-to-date security components and the access authorizations required for the retailers queried.
  4. Firewalls, network filters, changes to third-party websites or missing access rights may impair functionality and do not in themselves constitute a defect of PriceVigil.

7. Customer's Obligations Regarding Website Retrievals

  1. The customer alone determines which websites, products and data sources are accessed with PriceVigil. It is responsible for the lawfulness of this use.
  2. In particular, the customer must observe terms of use, access restrictions, copyright, database, competition and data protection law as well as appropriate retrieval intervals.
  3. PriceVigil may not be used to circumvent effective technical protection measures, to impair third-party systems, to use access data without authorization or to create unlawful data collections.
  4. The customer shall indemnify Karasungur Systems against justified third-party claims arising from unlawful use for which the customer is responsible. This does not apply insofar as Karasungur Systems caused or contributed to the claim. Karasungur Systems shall inform the customer without undue delay of asserted claims and shall, as far as legally possible, leave the defense to the customer.

8. Prices, Billing and Payment

  1. The price of the selected plan shown at the time the contract is concluded applies. Due to the application of the small business regulation under § 19 of the German VAT Act (UStG), no value-added tax is charged or shown.
  2. Billing takes place monthly. The recurring fee is due at the beginning of the respective monthly billing period.
  3. Online payments and the management of the subscription are handled via Stripe. The Stripe terms for payment processing apply in addition. Objections to the performance of Karasungur Systems remain unaffected by this.
  4. In the event of default in payment, Karasungur Systems may temporarily block online license access after a reminder and the unsuccessful expiry of a reasonable payment period. Statutory rights remain in place.
  5. Price changes do not apply retroactively. Karasungur Systems shall notify changes in text form at least six weeks before the start of the next affected billing period. If the customer rejects the change, it may terminate as of the end of the current billing period. Without agreement on the new price, Karasungur Systems may likewise terminate the contract ordinarily as of the end of the current billing period.

9. Contract Term and Termination

  1. The contract begins at the time specified when placing the order and initially runs until the end of the first monthly billing period. There is no minimum term beyond this.
  2. The contract is extended by a further month in each case unless it is terminated as of the end of the current billing period.
  3. Ordinary termination is possible at any time with effect as of the end of the monthly billing period already paid for, via the customer portal provided or in text form to service@karasungursystems.com.
  4. The right of both parties to extraordinary termination for good cause remains unaffected. Before termination due to a remediable breach of duty, a reasonable period for remedy must generally be set.
  5. Fees already paid in advance are not refunded in the event of extraordinary termination for which the customer is responsible. Mandatory statutory claims remain unaffected.

10. Updates and Changes to the Software

  1. Karasungur Systems may provide error corrections, security updates and functional improvements.
  2. Functions may be further developed, replaced or changed in their operation, provided the agreed contractual purpose is preserved and the change is reasonable for the customer. Significant adverse changes will be announced in good time.
  3. The customer is responsible for the timely installation of security updates provided. Karasungur Systems is not liable for disruptions based solely on the fact that a reasonable and properly provided update was not installed.

11. Data, Backups and Export

  1. The business data captured with PriceVigil remains under the customer's control. Karasungur Systems acquires no rights of use in it.
  2. The customer is responsible for regular, suitable and verified backups of its local PriceVigil data, browser profiles and exports.
  3. PriceVigil provides backup and export functions. For security reasons, login data, cookies and locally bound license data may be excluded from portable backups.

12. Warranty and Fault Reporting

  1. The statutory rights in respect of defects apply unless otherwise agreed below.
  2. The customer must report reproducible faults with a comprehensible description, the affected program version and — where reasonable — a low-data-protection-impact support package.
  3. Karasungur Systems is initially entitled to subsequent performance. At the discretion of Karasungur Systems, subsequent performance may take place by error correction, update or a reasonable workaround.
  4. A deviation caused exclusively by the change, blocking or unavailability of a third-party website is not a defect of the software. Karasungur Systems will, however, examine reasonable adaptation options within the scope of the agreed maintenance.

13. Liability

  1. Karasungur Systems is liable without limitation in cases of intent and gross negligence, in the event of culpable injury to life, body or health, under the German Product Liability Act, and to the extent of expressly assumed guarantees.
  2. In the event of slightly negligent breach of a material contractual obligation, liability is limited to the foreseeable damage typical for the contract at the time the contract was concluded. Material contractual obligations are those whose fulfillment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely.
  3. Otherwise, liability for slight negligence is excluded.
  4. In the event of data loss avoidable by the customer through proper backup, liability is limited to the typical effort that would have been required for restoration from a current and usable backup. The above liability exceptions remain unaffected.
  5. PriceVigil provides a basis for decisions, but no legal, tax or business advice. Price information and evaluations must be checked by the customer before economically significant decisions.

14. Confidentiality and Data Protection

  1. Both parties treat information of the other party that becomes known to them in the course of the contract and is marked as confidential or is evidently confidential as confidential.
  2. Karasungur Systems processes personal data in accordance with the applicable data protection provisions. Details result from the respective current privacy policy for PriceVigil.
  3. Insofar as Karasungur Systems is to process personal data on behalf of the customer in individual cases, the parties conclude a required data processing agreement before the start of this processing.

15. Force Majeure

Neither party is liable for delays or failures that lie outside its reasonable sphere of influence, in particular for large-scale network disruptions, official measures, natural events, labor disputes or failures of necessary infrastructure. The affected party informs the other side and endeavors to appropriately limit the consequences.

16. Final Provisions

  1. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
  2. If the customer is a merchant, a legal entity under public law or a special fund under public law, Offenbach am Main is — to the extent legally permissible — the exclusive place of jurisdiction. Karasungur Systems may also sue the customer at the customer's general place of jurisdiction.
  3. Legally relevant declarations regarding the contract may be made in text form, in particular by e-mail, insofar as the law does not require a stricter form.
  4. Should individual provisions be or become invalid, the contract otherwise remains valid. The statutory provision takes the place of the invalid provision.
